Sam has broad experience representing companies in a wide range of domestic and cross-border corporate transactional matters. He regularly advises clients in connection with licensing and commercial transactions, venture capital and private equity transactions, mergers and acquisitions, entity formation and structuring, and general corporate and securities matters. Sam also advises on various compliance, employment, and privacy issues, and often draws upon his prior experience in business and general civil litigation when acting as “outside general counsel” for clients and advising them on all legal matters.
In addition to the U.S., China is a jurisdiction in which Sam has had significant exposure to the business and regulatory framework. Sam lived in Western China for several years prior to law school, and during law school he studied abroad at three of China’s premier legal institutions. As an attorney, Sam has advised numerous U.S. and Europe-based clients in connection with operations and investments in China, and China-based clients with the same in the U.S.
